Nelson Mullins Represents Vision Sensing Acquisition Corp. in Acquisition of $215 Million De-SPAC Target

Washington, DC – Nelson Mullins represented Vision Sensing Acquisition Corp. (“Vision Sensing”) in its special purpose acquisition company ("SPAC") deal with Newsight Imaging Ltd. (“Newsight”). The transaction values Newsight at $215 million and is expected to be completed in the fourth quarter of 2022. The combined company will be expected to continue trading on the NASDAQ under the ticker symbol “NSIM.”

The Nelson Mullins team included partners Andy Tucker and Eric Graben, senior associate Franco Furmanski, and associates André Washington and Ethan Rosenfeld, with support from Wells Hall, Colleen Pleasant Kline, and Zalak Raval.

Vision Sensing is a SPAC that has been established to focus on the acquisition of vision sensing technologies (“VST”) including hardware solutions (chips, modules, and systems), related application software, artificial intelligence, and other peripheral technologies that assist to integrate and/or supplement VST applications.

Newsight develops advanced CMOS image sensor chips for 3D machine vision and spectral analysis. Its depth camera sensors for machine vision serve verticals such as Mobile & Metaverse, Robotics, Industry 4.0, Automotive Safety, and more.

Tucker is a corporate and securities advisor to growing companies, particularly in the technology and government contracting sectors. He assists his clients with a broad variety of transactional support, including venture capital and private equity transactions, joint ventures, mergers and acquisitions, and public and private securities offerings.

Graben represents public and private companies in corporate and securities law matters and complex transactions. He advises clients on a full range of corporate and commercial matters, including company formation and choice of entity, raising angel and venture capital, negotiating complex contracts, director and officer fiduciary duties, going public, and public company strategic transactions.

Furmanski focuses on representing companies and their principals in connection with a wide range of transactions, primarily merger and acquisition and financing transactions, including project finance, syndicated loans and debt and securities offerings.

Washington concentrates his practice on a variety of corporate transactions, including mergers and acquisitions and complex financing transactions. He had previously represented banks and non-bank lenders in connection with senior secured and unsecured credit facilities, unitranche financings, first lien and second lien transactions, mezzanine and subordinated financings, and cash flow.

Rosenfeld represents sellers of medical businesses to private equity and other purchasers and is also beginning to engage in the emerging value-based care space.  Before joining the firm, Ethan represented buyers of long-term care portfolios and was also engaged in matters of corporate governance and structuring.
