Trio of Banking and Finance Lawyers Join Nelson Mullins in Dallas

DALLAS – A team of banking and financial services attorneys with experience in guiding clients through corporate and business transactions have joined Nelson Mullins Riley & Scarborough in the firm’s Dallas office. The three partners are Brian Memory, John Sallaway and Jacob Sparks, who have come from Spencer Fane.

“We are thrilled that this group of versatile lawyers are now part of Nelson Mullins,” said Rusty A. Fleming, who leads the firm’s debt, servicing and restructuring team. “Their transactional and regulatory experience as well as their litigation savvy will bolster our team’s capabilities, especially in Texas and the southwest.”

The trio serve as legal advisors to companies seeking assistance with business transactions, operations, growth, risk management and litigation. These attorneys guide lenders and borrowers through the structuring, documentation and negotiation of financial transactions. They also lead clients through complex litigation matters related to financial services, bankruptcy as well as commercial disputes.

The attorneys are:

  • Brian Memory, partner, is an experienced lawyer focusing his practice on banking, real estate, finance and other commercial matters. He has guided financial institutions through mergers and acquisitions, core conversions, documentation overhauls and risk mitigation. In his real estate and finance practice, he assists clients in documenting financial transactions involving various forms of collateral. He served as a former in-house counsel for a large Texas bank.
     
  • John Sallaway, partner, assists lenders and borrowers in the structuring, documentation and negotiation of financial transactions. He also advises businesses of various sizes on corporate and debt finance, real estate development, acquisition and disposition, and general corporate and operational issues. He served as a former executive for a software company specializing in virtual remote workspaces.
     
  • Jacob Sparks, partner, is a trial attorney focusing on banking and financial services litigation, commercial litigation, and bankruptcy litigation. He represents clients across the full spectrum of financial services, including state and nationally chartered banks, nonbank lenders, loan servicers, buyers of distressed assets, and private equity firms. In his practice, he guides clients through complex litigation, including loan enforcement actions, breach of fiduciary duty claims, claims against officers and directors, Uniform Commercial Code claims, trade secrets disputes, fraud claims, and business torts.
